MegaVertex Terms of Service

Last updated: October 19, 2026 · Version 1.0

IMPORTANT — READ CAREFULLY BEFORE PURCHASING. ALL FEES ARE NON-REFUNDABLE (SEE SECTION 6).

1. Agreement and Acceptance

1.1 These Terms of Service (this “Agreement”) constitute a binding legal contract between Maxima Technical Solutions and Consultancies, a company registered in Palestine under registration number 562563650, with its registered address at 14 Emile Touma Street, Ramallah, Palestine, being the owner and operator of the MegaVertex platform (“MegaVertex”, “we”, “us”), and the person or entity that purchases a Subscription (“Customer”, “you”).

1.2 By checking the acceptance box, clicking “Subscribe”, “Purchase” or any similar button, or by accessing or using the Service, you confirm that you have read, understood and agree to be bound by this Agreement, including the No-Refund Policy in Section 6. If you do not agree, you must not purchase or use the Service.

1.3 If you accept this Agreement on behalf of a company or other legal entity, you represent and warrant that you have full authority to bind that entity, and “Customer” refers to that entity. If you lack such authority, you must not accept this Agreement.

1.4 You represent that you are at least eighteen (18) years old, or the age of legal majority in your jurisdiction, whichever is higher, and have full legal capacity to enter into this Agreement.

1.5 This Agreement incorporates by reference the MegaVertex Privacy Policy (available at megavertex.com/privacy-policy), the MegaVertex Acceptable Use Policy (available at megavertex.com/acceptable-use-policy), and any order form, plan description or pricing page applicable to your purchase (each an “Order”). In the event of conflict, this Agreement prevails unless an Order signed by an authorised representative of MegaVertex expressly states otherwise.

2. Definitions

  • “Service” means the MegaVertex software platform, applications, modules, APIs, websites, updates and related documentation made available to you under a Subscription.
  • “Subscription” means the right to access and use the Service for the Subscription Term under the plan you purchased.
  • “Subscription Term” means the initial period stated in your Order and every renewal period.
  • “Fees” means all amounts payable for a Subscription, including subscription fees, add-ons, usage-based charges, upgrades, setup fees and applicable taxes.
  • “Authorized Users” means your employees or contractors whom you permit to use the Service under your account, within the user limits of your plan.
  • “Customer Data” means data, files and content that you or your Authorized Users upload to or create in the Service.
  • “Documentation” means the user guides, help pages and specifications MegaVertex makes available for the Service.

3. License Grant

3.1 Subject to your full and timely payment of all Fees and continuous compliance with this Agreement, MegaVertex grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license, during the Subscription Term only, to access and use the Service for your internal business purposes, within the limits of your purchased plan.

3.2 The Service is licensed, not sold. No ownership of the Service, or of any copy of it, is transferred to you. All rights not expressly granted in this Agreement are reserved by MegaVertex.

3.3 Plan limits (including number of users, apps, storage, API calls, records or modules) are stated in your Order or on the pricing page at the time of purchase. Use beyond those limits requires an upgrade and payment of additional Fees.

4. Restrictions

You shall not, and shall not permit any person to:

  1. copy, modify, translate, or create derivative works of the Service or Documentation;
  2. reverse engineer, decompile, disassemble or attempt to derive the source code, algorithms or structure of the Service, except to the extent such restriction is prohibited by mandatory law;
  3. sell, resell, rent, lease, lend, sublicense, distribute, or offer the Service on a time-sharing, service-bureau or white-label basis;
  4. share account credentials, or allow more users than your plan permits, or allow a single login to be used by more than one individual;
  5. remove, obscure or alter any proprietary notices, labels or branding;
  6. circumvent, disable or interfere with any security, licensing, rate-limiting or access-control feature;
  7. use the Service to build a competing product, or benchmark it for publication without our prior written consent;
  8. upload or transmit malware, or any content that is unlawful, infringing, defamatory or harmful;
  9. use the Service in violation of any applicable law, including export-control, sanctions, data-protection and anti-spam laws;
  10. probe, scan or test the vulnerability of the Service, or attempt unauthorised access to any system or data.

5. Accounts and Security

5.1 You must provide accurate, current and complete registration and billing information and keep it updated.

5.2 You are solely responsible for all activity under your account, for maintaining the confidentiality of credentials, and for the acts and omissions of your Authorized Users as if they were your own.

5.3 You must notify MegaVertex immediately at support@megavertex.com of any unauthorised use or security breach. MegaVertex is not liable for any loss arising from unauthorised use of your credentials.

6. Fees, Payment and No-Refund Policy

6.1 Payment. You agree to pay all Fees in advance, in the currency stated at checkout, using the payment method you provide. You authorise MegaVertex and its payment processors to charge that payment method for all Fees when due, including renewals.

6.2 ALL PAYMENTS ARE FINAL AND NON-REFUNDABLE. To the maximum extent permitted by applicable law, all Fees paid or payable under this Agreement are non-cancellable and non-refundable, in whole or in part, for any reason, including but not limited to:

  • non-use, partial use or under-use of the Service, or failure to log in;
  • cancellation, downgrade or termination by you at any time during a Subscription Term;
  • termination or suspension by MegaVertex due to your breach of this Agreement;
  • dissatisfaction with the Service or its features, or a change of business needs;
  • unused users, apps, credits, storage or any other unused plan capacity;
  • purchase made in error, duplicate accounts, or failure to cancel before renewal;
  • the remaining unused portion of a monthly, annual or multi-year Subscription.

6.3 No credits, pro-rata refunds or partial refunds will be issued for any period. Where you upgrade mid-term, any adjustment is applied only as a charge or credit toward future Fees, at MegaVertex's sole discretion, and never as a cash refund.

6.4 Mandatory law. Nothing in this Section excludes any refund right that cannot lawfully be excluded under the consumer-protection law that applies to you. Where such a right applies, it is limited to the minimum required by that law. Where a statutory right of withdrawal may be waived by consenting to immediate performance, you expressly request that the Service begin immediately upon purchase and acknowledge that you thereby lose any such right of withdrawal.

6.5 Automatic renewal. Unless stated otherwise in your Order, each Subscription renews automatically for a period equal to the expiring term, at MegaVertex's then-current Fees, and your payment method will be charged on the renewal date. You may turn off auto-renewal at any time in your account settings; doing so takes effect at the end of the current term and does not entitle you to any refund.

6.6 Price changes. MegaVertex may change Fees for any renewal term by giving at least thirty (30) days' notice before that renewal. Continuing the Subscription after the change takes effect constitutes acceptance of the new Fees.

6.7 Taxes. Fees exclude all taxes, duties and levies (including VAT, GST, sales and withholding taxes), which you are responsible for paying, except taxes on MegaVertex's net income. If withholding is required by law, you shall gross up the payment so that MegaVertex receives the full Fee.

6.8 Failed or late payment. If any charge fails or any amount is overdue, MegaVertex may, without liability and without prejudice to its other rights: (a) retry the charge; (b) suspend or restrict access to the Service until paid in full; (c) charge late interest at 1.5% per month or the maximum lawful rate, whichever is lower; and (d) recover reasonable collection costs, including legal fees.

6.9 Chargebacks. You agree not to initiate a chargeback or payment dispute for Fees validly charged under this Agreement. Any chargeback is a material breach. MegaVertex may immediately suspend or terminate your account, and you shall remain liable for the disputed amount plus any fees charged to MegaVertex by its payment processor.

7. Customer Data

7.1 As between the parties, you retain ownership of Customer Data. You grant MegaVertex a worldwide, non-exclusive, royalty-free license to host, store, process, copy and transmit Customer Data solely as needed to provide, secure, support and improve the Service and to comply with law.

7.2 You are solely responsible for the accuracy, legality and quality of Customer Data, and for having all rights, consents and notices required to upload it and to let MegaVertex process it.

7.3 MegaVertex processes personal data in accordance with its Privacy Policy and applicable data-protection law. Where required by law, the parties will enter into a data processing agreement.

7.4 You are responsible for keeping your own backups of Customer Data. MegaVertex does not guarantee against loss or corruption of data.

7.5 After expiry or termination, MegaVertex will make Customer Data available for export for thirty (30) days, provided all Fees are paid. After that period, MegaVertex may permanently delete Customer Data without further notice or liability, except where retention is required by law.

7.6 MegaVertex may collect and use aggregated, anonymised usage and performance data that does not identify you or any individual, for any lawful purpose, including improving the Service.

8. Intellectual Property

8.1 MegaVertex and its licensors own all right, title and interest, including all intellectual property rights, in and to the Service, Documentation, software, designs, trademarks, and all improvements, modifications and derivative works of them, regardless of who creates them.

8.2 If you provide suggestions, ideas or feedback, MegaVertex may use them freely, without restriction or obligation to you, and you assign to MegaVertex all rights in such feedback.

8.3 You may not use the MegaVertex name, logo or trademarks without our prior written consent. You agree that MegaVertex may identify you as a customer by name and logo in its marketing materials unless you opt out in writing to info@megavertex.com.

9. Confidentiality

9.1 Each party shall keep confidential all non-public information of the other party that is marked confidential or would reasonably be understood to be confidential, including the Service's non-public features, pricing terms, and security information (“Confidential Information”). Each party shall use it only to perform this Agreement and protect it with at least reasonable care.

9.2 These obligations do not apply to information that is or becomes public through no fault of the receiving party, was lawfully known to it beforehand, is independently developed, or is lawfully received from a third party without restriction. Disclosure required by law or court order is permitted, with prompt prior notice where lawful.

9.3 These obligations survive for five (5) years after termination, and indefinitely for trade secrets.

10. Service Availability and Changes

10.1 MegaVertex will use commercially reasonable efforts to make the Service available, but does not guarantee uninterrupted or error-free operation. Scheduled maintenance, emergency maintenance, and events outside our reasonable control may cause downtime. Downtime does not entitle you to any refund or credit unless a separate written service-level agreement signed by MegaVertex states otherwise.

10.2 MegaVertex may modify, update, add or remove features of the Service at any time. If a change materially reduces the core functionality of your plan during a paid term, we will give reasonable notice.

11. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE AND DOCUMENTATION ARE PROVIDED “AS IS” AND “AS AVAILABLE”, WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. MEGAVERTEX EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. MEGAVERTEX DOES NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS, BE SECURE, OR THAT ANY RESULTS, REPORTS OR CALCULATIONS IT PRODUCES WILL BE ACCURATE OR COMPLETE. YOU ARE SOLELY RESPONSIBLE FOR VERIFYING ANY OUTPUT BEFORE RELYING ON IT.

12. Limitation of Liability

12.1 TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL MEGAVERTEX, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, DATA, OR COST OF SUBSTITUTE SERVICES, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

12.2 TO THE MAXIMUM EXTENT PERMITTED BY LAW, MEGAVERTEX'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THIS AGREEMENT SHALL NOT EXCEED THE FEES ACTUALLY PAID BY YOU TO MEGAVERTEX FOR THE SERVICE IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

12.3 Nothing in this Agreement limits liability that cannot be limited by law, such as liability for fraud, gross negligence or wilful misconduct, or death or personal injury caused by negligence.

12.4 The parties agree that the disclaimers and limitations in Sections 11 and 12 are an essential basis of the bargain and reflect a fair allocation of risk, and that the Fees would be higher without them.

13. Indemnification

You shall defend, indemnify and hold harmless MegaVertex and its affiliates, officers, directors, employees and agents from and against all claims, losses, damages, liabilities, penalties, costs and expenses (including reasonable legal fees) arising out of or relating to: (a) Customer Data; (b) your or your Authorized Users' use of the Service; (c) your breach of this Agreement; or (d) your violation of any law or third-party right. MegaVertex may participate in the defence with counsel of its choosing at its own expense, and you may not settle any claim that imposes an obligation on MegaVertex without its prior written consent.

14. Term, Suspension and Termination

14.1 This Agreement starts when you accept it and continues until all Subscriptions expire or are terminated.

14.2 You may cancel a Subscription at any time by disabling auto-renewal. Cancellation takes effect at the end of the current Subscription Term. No refund is due (Section 6).

14.3 MegaVertex may suspend your access immediately, with or without notice, if: (a) any Fees are overdue; (b) you breach Sections 4, 5, 6.9 or 8; (c) your use poses a security, legal or operational risk to the Service or others; or (d) required by law or a competent authority.

14.4 MegaVertex may terminate this Agreement and any Subscription: (a) immediately on written notice if you materially breach this Agreement and, where the breach is curable, fail to cure it within ten (10) days of notice; or (b) immediately if you become insolvent, enter liquidation, or make an arrangement with creditors.

14.5 On expiry or termination: all licenses end immediately; you must stop using the Service; all unpaid Fees for the full Subscription Term become immediately due; and no Fees already paid are refundable. Sections 6, 7.5, 8, 9, 11, 12, 13, 15 and 16, and any other provision that by its nature should survive, survive termination.

15. Governing Law and Dispute Resolution

15.1 This Agreement and any dispute or claim arising out of or in connection with it (including non-contractual disputes) are governed by the laws of the State of Palestine, without regard to its conflict-of-laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

15.2 The parties shall first attempt in good faith to resolve any dispute by written notice and negotiation for thirty (30) days.

15.3 Any dispute not so resolved shall be finally settled by the competent courts of Ramallah, Palestine, which shall have exclusive jurisdiction. Each party irrevocably submits to that jurisdiction.

15.4 To the extent permitted by law, all claims must be brought on an individual basis and not as a plaintiff or class member in any class or representative proceeding.

15.5 Notwithstanding the above, MegaVertex may seek injunctive or other equitable relief in any competent court to protect its intellectual property or Confidential Information, and may pursue collection of unpaid Fees in any competent court.

16. General Provisions

16.1 Entire agreement. This Agreement, together with the documents incorporated by reference, is the entire agreement between the parties on its subject matter and supersedes all prior proposals, representations and understandings. Any terms in your purchase order or other document are rejected and have no effect.

16.2 Amendments. MegaVertex may amend this Agreement by posting a revised version and notifying you by email or in the Service at least fifteen (15) days before it takes effect. Amendments apply from your next renewal unless required earlier by law. Continued use after the effective date constitutes acceptance.

16.3 Assignment. You may not assign or transfer this Agreement or any Subscription without MegaVertex's prior written consent; any attempt to do so is void. MegaVertex may assign this Agreement freely, including in a merger, acquisition or sale of assets.

16.4 Severability. If any provision is held invalid or unenforceable, it shall be enforced to the maximum extent permissible and modified to the minimum extent necessary, and the remaining provisions remain in full force.

16.5 No waiver. No failure or delay in exercising any right is a waiver of it.

16.6 Force majeure. MegaVertex is not liable for any delay or failure caused by events beyond its reasonable control, including natural disasters, war, hostilities, civil unrest, government action, power or internet failures, cyberattacks, or failures of third-party hosting providers. Payment obligations are not excused by force majeure.

16.7 Independent parties. The parties are independent contractors. Nothing creates a partnership, agency, joint venture or employment relationship.

16.8 Notices. Notices to you may be sent to the email address on your account and are effective when sent. Notices to MegaVertex must be sent to legal@megavertex.com and 14 Emile Touma Street, Ramallah, Palestine.

16.9 Electronic acceptance. Your electronic acceptance has the same legal effect as a handwritten signature. MegaVertex's records of your acceptance (including date, time, IP address and Agreement version) are conclusive evidence of your consent, absent manifest error.

16.10 Language. This Agreement is drafted in English. If it is translated, the English version prevails in case of any inconsistency.
